Prasolus Opens Office in Dallas with Plans to Radically Improve the Quality of Education for K-12 Students

new branch office in Dallas. This new Prasolus Dallas location will better serve
participating North Texas school districts.

Prasolus' new offices are located on the 7th floor of The Crescent at 100 Crescent
Court in Dallas. Prasolus will employ eight staff in the 2,200 square-foot Dallas
offices, which feature a multifunctional room for teachers' and administrators'
professional development and parental engagement workshops. During the academic
year 2006-2007, Prasolus will allocate $100,000 to building a presence in the Dallas
area. Prasolus plans over $300,000 in expenditures in Dallas during academic year
2007-2008.

Dr. Joe Nichols founded Prasolus to accelerate the learning, engagement, and
achievement of K-12 students. Prasolus was conceptualized when his doctoral
dissertation research led to the discovery of an ever-widening divide between
traditional "paper-based" teachers and what he terms "digital learners." Dr.
Nichols and a dedicated team created the Prasolus methodology to bridge generational
and socio-economic gaps that exist between teachers and students, thus reducing the
"frustration index" of educational practitioners and increasing the engagement of
students.

School districts currently using Prasolus have already reported improved performance
on benchmark exams and greater success rates on TAKS test. In one case, a Chemistry
teacher, whose class typically scores in the bottom 25th percentile, observed a 93%
passage rate on his students' performance during the 11th grade exit-level science
TAKS test.

Prasolus' results-driven process enables teachers to cover the approved curriculum
in greater depth and breadth, greatly increasing teacher efficacy. Prasolus
increases student attendance and decreases discipline problems. In short, Prasolus
helps more kids do more work, more enthusiastically, more quickly, and more

Phase" for school districts interested in trying out Prasolus, at a cost ranging
from $35,000 to $50,000, which includes an appropriate volume of the following
internal user resources (a) Student Engagement and Learning Gear, (b) Teacher
Freedom and Mobility Bundle, and (c) Administrator Access and Involvement Tool.

Prasolus will be implemented in school districts throughout Texas via a business
model that resembles a franchise. The Prasolus opportunity has been designed for
application to K-12 school environments nationwide, with international potential.
The Prasolus process will be applied to educational environments in Vietnam and
Mexico beginning in 2007.
